1. Acceptance of Terms

Welcome to MDabroad. These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and US & UK Medical Abroad, LLC, doing business as MDabroad ("MDabroad," "we," "us," or "our").

By accessing or using our website located at mdabroad.com (the "Site"), our provider portal, our MDiX platform, or any of our services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use our Services.

If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" shall refer to such entity.


2. Description of Services

MDabroad provides international medical assistance, clinical coordination, cost containment, claims financing, telemedicine, and technology platform services ("Services") primarily to:

Our Services include, but are not limited to: 24/7/365 medical assistance and emergency coordination, medical case management and clinical oversight, U.S. and international medical cost containment, claims adjudication and processing via our MDiX platform, claims financing and provider payment services, telemedicine consultations, pharmacy benefit coordination, and medical evacuation and repatriation coordination.

All content, features, and functionality of the Services—including but not limited to text, graphics, logos, icons, images, audio, video, software, databases, and the overall design and arrangement ("Content")—are owned by MDabroad or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The MDabroad name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of US & UK Medical Abroad, LLC. You may not use these marks without our prior written permission.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. This license does not include any resale or commercial use of the Services or Content, any collection or use of product listings, descriptions, or prices, any derivative use of the Services or Content, or any downloading or copying of account information for the benefit of another party.


7. Third-Party Services and Links

Our Services may contain links to third-party websites, services, or content that are not owned or controlled by MDabroad. We are not responsible for the content, privacy policies, or practices of any third-party sites or services.

We may integrate with third-party services (e.g., payment processors, telemedicine providers, pharmacy networks) to deliver our Services. Your use of such integrated services may be subject to additional terms and conditions.


8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MDABROAD IS NOT A HEALTHCARE PROVIDER, INSURER, OR MEDICAL FACILITY. While we coordinate medical assistance and may facilitate telemedicine consultations, we do not provide medical advice, diagnosis, or treatment. All medical decisions are made by licensed healthcare professionals. Always seek the advice of qualified health providers with any questions regarding a medical condition.

Insurance Disclaimer

MDABROAD IS NOT AN INSURANCE COMPANY. We act as a service provider to insurers and TPAs. Coverage determinations, benefit eligibility, and claims payment decisions are made by your insurer, not by MDabroad. Your insurance policy governs your benefits.


9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MDABROAD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO MDABROAD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless MDabroad and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:


11. Governing Law and Dispute Resolution

Governing Law

These Terms and any dispute arising from or relating to them or the Services shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Dispute Resolution

Informal Resolution: Before initiating any formal proceeding, you agree to contact us at legal@mdabroad.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration: If informal resolution is unsuccessful, any dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Miami-Dade County, Florida, unless the parties agree otherwise.

Class Action Waiver: YOU AND MDABROAD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Jurisdiction

For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida.


12. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of these Terms and provide notice through the Services or by other reasonable means.

Your continued use of the Services after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services.


13. Termination

By You

You may terminate your use of the Services at any time by discontinuing access and, if applicable, closing your account.

By MDabroad

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, including if we reasonably believe that you have violated these Terms, your use poses a security risk, or providing the Services to you is no longer commercially viable.

Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will remain in effect.
